These terms govern the sale of Neptune Chemical Corporation LLC products and any related technical support, unless a signed master service agreement between the parties states otherwise.
Quotations are valid for 30 days unless stated otherwise. Orders are accepted upon written confirmation by Neptune. Prices exclude freight, taxes and container deposits unless expressly included.
Delivery dates are estimates given in good faith. Risk of loss passes on delivery to the carrier; title passes upon payment in full.
Recommendations, including string diameter and length guidance for Proteus V1 and V1x, are based on information supplied by the customer. The customer is responsible for confirming suitability for its specific wellbore conditions, metallurgy and acid system.
Customers must review the applicable safety data sheet before handling any product and ensure personnel are trained in proper storage, PPE and disposal requirements.
Neptune warrants that products conform to their published technical data sheet specifications at the time of shipment. This is the sole warranty given; all other warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed.
Neptune's liability for any claim is limited to the purchase price of the product giving rise to the claim. Neptune is not liable for indirect, incidental or consequential damages, including lost production.
Formulations, technical data and pricing are confidential. Proteus™ and Typhon™ and related product literature remain the intellectual property of Neptune Chemical Corporation LLC.
These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
